Bylaws for
The IEEE Solid-State Circuits Council

These Bylaws provide detailed guidance for the supervision and management of the Council affairs, in accordance with the Council Constitution. Amendments or additions may be made by means of the procedures described in Article XI, Section 2, of the Constitution.


ARTICLE I Rules of Order

Section 1. In all matters not covered by the Constitution, Bylaws, and Rules, the Council shall be governed by the latest edition of the Sturgis Standard Code of Parliamentary Procedure.

ARTICLE II Member Groups and Societies

Section 1. The Member Societies of the Council shall be those currently listed by the Technical Activities Board (TAB) Secretary. As of September 1991, the list consisted of: 1.IEEE Circuits and Systems Society 2.IEEE Computer Society 3.IEEE Electron Devices Society 4.IEEE Microwave Theory and Techniques Society 5.IEEE Components, Packaging, and Manufacturing Technology Society 6.IEEE Ultrasonics, Ferroelectrics and Frequency Control Society 7.IEEE Communications Society 8.IEEE Lasers and Electro-Optics Society

Section 2. The Associate Member Societies of the Council are: None.

Section 3. The membership of the Council also comprises certain regional representatives and liaisons from the Executive Committee or Operating Committee of conferences sponsored wholly or in part by the Council. As of September 1991, these members are: 1.The Chairman of the Executive Committee of the next IEEE International Solid-State Circuits Conference (ISSCC). 2.A Representative from the Operating Committee of the next IEEE Custom Integrated Circuits Conference (CICC). 3.The Region 8 Representative to Council 4.The Region 9 Representative to Council 5.The Region 10 Representative to Council Section 4. Any Council Society that is unwilling or unable to continue to share the financial responsibilities as defined in the Constitution may request a change to Council Associate Society status or may resign. Any former Council Society, or Council Associate Society, may later rejoin, without prejudice, on the same basis as any new application.

ARTICLE III Nominations and Elections

Section 1. Prior to April 1st, the President of the Council shall appoint a Nominations Committee to nominate candidates for the office of Vice-President. The Committee shall consist of a Chairman and three more members. At least one shall not be a current representative serving on the Council but shall be a member of at least one Council Society. The Officers of the Council and the Immediate Past President may not serve on the Nominations Committee, or be members ex officio.

Section 2. The Chairman of the Nominations Committee shall consult with each candidate prior to nomination to determine willingness to serve if elected.

Section 3. The Nominations Committee shall be guided in its selections by principles of efficiency, geographical distribution, past history, and technical interest.

Section 4. The Chairman of the Nominations Committee shall submit the Committee report to the Council at the beginning of the Annual Meeting of the Council or, with the approval of the Council President, by letter to all qualified voting officers and representatives on the Council prior to the Annual Meeting. At the same meeting, or by letters mailed to the entire Council, the officers and representatives may make additional nominations.

Section 5. The names of any Officers of the Council who are not eligible under the Constitution or Bylaws shall be withdrawn by the President of the Council.

Section 6. If declinations are received after the nominations have been made, members of the Council may make additional nominations.

Section 7. Election of the Vice-President, if a vacancy exists, shall be from those nominated as specified in these Bylaws, Article III, Sections 2, 3, 4, 5, and 6. Elections shall be by secret ballot of the Council at the Annual Meeting. To be elected, a nominee must receive a majority of the proper votes cast by the Council. If no candidate received a majority, the candidate receiving the smallest vote shall be withdrawn and a second ballot be taken. This procedure shall be repeated until one candidate receives a majority vote. The Council shall resolve any tie or, if impossible, shall refer the question to the Technical Activities Board, which is hereby empowered to break the tie. The Council may make contingent elections to be effective in case an elected Officer fails to accept office, or a disapproval is received from IEEE Headquarters because there has been some irregularity in the nominations and election procedure, or the elected individual has failed to maintain IEEE membership and Society membership.

Section 8. The President of the Council shall inform each successful candidate of his election and shall arrange for the transfer of responsibility. The name of each elected officer shall be reported to the Secretary of the IEEE Technical Activities Board.

ARTICLE IV Standing Committees

Section 1. The Standing Committees, each of which shall normally consist of two or more persons, shall include the following: Publications Committee Nominations Committee Constitution and Bylaws Committee Conferences Committee Awards Committee

Section 2. With the advice and consent of the Council, the President may appoint such additional special-purpose committees as may be deemed desirable.

Section 3. Each Standing Committee shall have the power to create subcommittees of its own selection.

Section 4. The Chairman of the Publications Committee and the Editor of the IEEE Journal of Solid-State Circuits shall be appointed by the President, with the advice and consent of the Council. The Editor may serve as the Chairman of the Publications Committee. The Publications Committee shall solicit or otherwise obtain, and obtain reviews of, papers for publication and shall edit, prepare, and publish the IEEE Journal of Solid-State Circuits, as directed by the Council and with the assistance of IEEE Headquarters. The Publications Committee shall establish publication policy, subject to annual review by the Council. It shall advise the Editor in the choice of special topics, and guide and plan all issues of the Journal. The Editor may serve indefinitely, if reappointed by the President of the Council. The compensation for an Editor, if any, shall be set by the President, with the advice and consent of the Council. The Editor shall be the Council representative on the IEEE Panel of Editors. The Editor may designate associate editors, special guest editors, and manuscript reviewers, in accord with general IEEE statements of Policy. Editorial expenses must be in accord with an annual budget that has been approved by the Council. The Editor may authorize publication expenses, but shall be responsible for adherence to the publication budget. The Publications Committee shall also carry out on behalf of Council other tasks related to publications that may come before the Council. These include reviews of IEEE Press book proposals, reviews of proposals for new Transactions, Journals, Magazines and other such matters.

Section 5. The Nominations Committee shall be appointed by the President of the Council in accord with Article III, Section 1, of the Bylaws. It shall have the duties described in Article III, Sections 1, 2, 3, and 4, of these Bylaws. The Chairman of the Nominations Committee, if not a voting member of the Council, may attend Council meetings as an ex officio member without vote.

Section 6. The Constitution and Bylaws Committee shall be appointed by the President of the Council. The functions of the Constitution and Bylaws Committee will be to: 1.Maintain up-to-date copies of the Constitution and Bylaws and make them available at each meeting of the Council. 2.Ascertain that the Constitution and Bylaws are not in conflict with any requirements or rules of IEEE Headquarters. 3.Recommend changes in the Constitution by Bylaws as necessary to conform to the developments of the Council, or changes by IEEE Headquarters. 4.The Chairman of the Constitution and Bylaws Committee shall serve as Parliamentarian and consultant on procedural matters at meetings of the Council. 5.The President of the Council shall be a member of the Constitution and Bylaws Committee.

Section 7. The Chairman of the Conferences Committee shall be appointed by the President of the Council. Membership of the committee shall include but not be limited to representatives of each of the conferences sponsored by the Council, including the Chairman of the Solid State Circuits Conference, who may also serve as Committee Chairman. The Committee shall consider all proposals for Council sponsorship of conferences, and consider issues of conference technical scope, overlap of technical interest, conference timing, and management and financial status of sponsored conferences. The committee shall make recommendations to the full Council on the addition or deletion of conferences from Council sponsorship.

Section 8. The Vice-President of Council shall serve as Chairman of the Awards Committee. Membership of the committee shall include the Editor of the IEEE Journal of Solid-State Circuits and a minimum of two additional members of Council. The Committee shall be responsible for soliciting nominees for Council and IEEE Awards including the Solid State Circuits Field Award, IEEE Fellow, Solid State Circuits Council Fellowship, and other awards as deemed appropriate. The Committee shall also administer Council's evaluation of the nominees for these awards. The Editor of the IEEE Journal of Solid-State Circuits will be responsible for selection of the best paper award for the Journal.

ARTICLE V Finances

Section 1. At the Annual Meeting of the Council, the Treasurer shall submit a proposed budget for the ensuing fiscal year. When approved by the Council, this budget shall become binding upon the Council until such time as it may be changed by the Council. This approved budget will constitute authorization to the Treasurer to disburse the funds in amounts not to exceed any budget item. The Treasurer shall be responsible for forwarding to IEEE Headquarters the approved budget, and Headquarters will be thereby authorized to disburse the funds in accordance with instructions from the Treasurer. The Treasurer shall obtain a financial statement of receipts, expenditures and balances from IEEE Headquarters at least twice yearly and shall distribute copies of this statement to all members of the Council. He shall also keep a running account of commitments to date.

Section 2. The financial support for the Council shall be derived from the income from sales of the IEEE Journal of Solid-State Circuits or IEEE Press publications, from any surplus from the ISSCC and other conferences and workshops that it sponsors. The sale price of the Journal shall be set to be self-sustaining, or to yield at least a small surplus, in accordance with IEEE Bylaws.

Section 3. In the event of a distribution of surplus, or payment of a deficit, each Council Society shall receive or pay a share in the ratio that the number of its members subscribing bears to the total number of members subscribing. For the purpose of determining this ratio, an individual who belongs to more than one Council Society shall be counted in each Society. If less than ten percent of the regular members of a Society subscribe, the share is as if ten percent of its membership subscribed.

Section 4. Any surplus from the IEEE International Solid-State Circuits Conference that has been distributed to the Council may be used for operating expenses, but no other assessment may be made on the Conference.

Section 5. The ISSCC Treasurer is authorized to open an account to be used for the deposit and disbursement of funds related to the Conference. The Council shall be advised of the name of the bank, the anticipated size of the account, the names of the account signatories, and of arrangements for insurance and bonding.

ARTICLE VI Council Meetings

Section 1. The Secretary shall notify the Officers, Members, and ex- officio Members of the Council, the Immediate Past President, all Chairmen of Standing and Special Committees, and appropriate guests, of the time, place and agenda of all meetings of the Council at least twenty days in advance of the meeting.

Section 2. A roll call shall be made at the beginning of each Council Meeting. The Secretary shall record the names of those present and announce whether a quorum exists.

Section 3. The Secretary shall transmit in writing within ten days of their adoption all motions, directives, or orders of the Council to the persons affected. He shall transmit a true and faithful copy of the minutes of all meetings of the Council to the Officers, Members of the Council, Chairmen of the Standing and Special Committees, and to the Secretary of the IEEE Technical Activities Board within thirty days of the meeting. As soon after January 1st as practicable, he shall provide a directory listing the names and addresses of all of the above- mentioned people to each person named therein.

Section 4. The Immediate Past President of the Council, and the Chairmen of all Standing and Special Committees, shall be invited to attend all meetings of the Council as guests and advisors but shall not have the right to propose motions, vote, or preside, unless they are voting Members of the Council.

Section 5. IEEE staff representatives may attend all meetings of the Council, and shall be allowed to speak, but shall not vote.

Section 6. Meetings of the Council may be cancelled only by consent of a majority of all the members of the Council not less than fourteen days before the original date or the new date set for the meeting, whichever is earlier. Notice of such cancellation or changed date shall be given all Council Members by mailing a notice not less than ten days before the original or the new date, whichever is the earlier.

Section 7. Meetings of the Council may be held at international or regional technical meetings or conventions of the IEEE, or jointly with a Section, or separately, or jointly with another Society, whenever such meeting is deemed desirable by the Council.
